Mutual Non-Disclosure Agreement

What’s covered

Each side (“Receiving Party”) agrees to protect confidential information shared by the other side (“Disclosing Party”). Confidential Information means:

• Client’s information: security questionnaire responses, system architecture details, internal security documentation, vendor assessment materials, and any data shared for the engagement.
• Aceloking’s information: questionnaire completion methodology, internal templates and frameworks, pricing and service models, and proprietary processes developed for this work.

How it’s protected

The Receiving Party will:

• Use Confidential Information only for the purpose of this engagement.
• Not share it with anyone outside their organization except employees or contractors who need it for the engagement and are bound by similar confidentiality.
• Protect it with at least the same care they use for their own confidential information.

What’s not covered

Confidential Information does not include information that:

• Is already public (not because the Receiving Party leaked it).
• The Receiving Party already had before this agreement.
• Someone else gave the Receiving Party without a confidentiality obligation.
• The Receiving Party developed independently without using the Disclosing Party’s information.

If the law requires disclosure, the Receiving Party will notify the Disclosing Party first (if allowed) so they can object.

Duration

This agreement lasts for two years from the date above. The confidentiality obligation survives for two years after the engagement ends.

No other strings

This is a confidentiality agreement only. No partnership, agency, or employment relationship is created. Neither party is restricted from working with anyone else.

Governing law

This agreement is governed by the laws of India. Disputes will be resolved in the courts of that jurisdiction.
